Business Registration in Iraq: A Guide for Entrepreneurs

This page summarizes the main steps, authorities, documents and obligations involved in formally registering a business in Iraq, including in Anbar.

1. Understanding business formalization

Formalizing a business means bringing it within the legal and regulatory framework. Commercial, service and industrial businesses generally need to be registered with the relevant authorities, and the route depends on the size and nature of the activity (see Section 3). Formalization has four main components:

  • Legal entity and trade name registration: formally recognizing the business as a sole proprietorship, partnership or company under the Companies Law No. 21 of 1997 (as amended), or through the Federation of Iraqi Chambers of Commerce and local chambers of commerce under the Trade Law No. 30 of 1984.

  • Tax registration: opening an official tax file with the General Commission for Taxes (GCT) under the Income Tax Law No. 113 of 1982 (as amended).

  • Sectoral licensing and municipal permits: obtaining operating permits from local municipalities (e.g., Amanat Baghdad or provincial municipality directorates) and sectoral approvals (e.g., Ministry of Industry and Minerals, Ministry of Health, Ministry of Agriculture).

  • Labor and social security compliance: registering employees with the Social Security and Pension Directorate for Workers under the Pensions and Social Security Law for Workers No. 18 of 2023.

2. Benefits of formalization

Accessing financing and loans

Banks and microfinance institutions generally require legal proof of business activity before providing loans or other financial facilities.

Legal compliance

Operating a business without registering it, obtaining the required licenses and fulfilling tax obligations may result in legal consequences, and may be considered unlicensed business activity or tax evasion.

Protecting personal assets

An appropriate legal structure, such as a limited liability company, helps separate personal assets (savings, property) from business obligations and risks.

Government support and contracts

An official business license may make a business eligible for government support programs, grants or scholarships, and public tenders and contracts.

3. Registration procedures

The registration route depends on the size and nature of the business:

  • Registrar of Companies (Ministry of Commerce): generally recommended for projects with growth ambitions and for medium-sized and large businesses.

  • Chamber of Commerce: may be sufficient for small businesses to reserve a trade name. Approvals from the local municipality and the district governor are also needed and, depending on the activity, from the Ministry of Health.

Main steps

  1. Reserve the company name (a unique name that does not conflict with an existing company).

  2. Prepare the Articles of Association and Bylaws (objectives, capital, ownership structure and each partner’s share).

  3. Deposit the company capital in a bank account, in line with the registration procedures.

  4. Submit the registration documents to the Companies Registrar, which issues the certificate of incorporation once the application is approved.

Documents required

  1. Incorporation form, completed online through the registrar’s website.

  2. Trade name reservation certificate from the Federation of Iraqi Chambers of Commerce, issued online under the Trade Names and Commercial Register Law No. 6 of 1985.

  3. Letter from an accredited bank in Iraq confirming the deposit of the capital, with the deposit receipt and account statement. Minimum deposit: 1,000,000 IQD (limited liability companies), 2,000,000 IQD (joint-stock companies), 500,000 IQD (individual projects and general partnerships).

  4. Copy of the company contract, prepared under Article 13 of the Companies Law No. 173 of 1965, as amended, and signed by the founders or their legal representatives.

  5. Copies of each founder’s civil status ID, nationality certificate and residence card, together with the ration card (for blocking purposes) and the professional association (syndicate) ID.

  6. Written pledge from the founders that they are not state employees and are not prohibited from owning shares.

  7. After establishment at the Ministry of Commerce, a tax file must be opened at the Companies Department of the General Commission for Taxes.

5. Taxation, licensing and legal obligations

  • Tax registration: the company must open a tax file with the General Commission for Taxes and obtain its tax identification number (TIN) immediately after incorporation.

  • Social security: the company and its employees must be registered with the Workers’ Retirement and Social Security Department, as required by the Labor Law.

  • Licenses and permits: depending on the activity, approvals from the local municipality and sectoral authorities (e.g., Ministry of Health, Ministry of Industry and Minerals, Ministry of Agriculture) may be required.

6. Common questions

Do I need to set up a company, or is a simpler registration enough?

It depends on the size of the business. Small businesses may register with the Chamber of Commerce to reserve a trade name (plus municipal and district governor approvals). The Registrar of Companies is generally recommended for growth-oriented, medium-sized and large businesses.

How much capital must be deposited?

The minimum deposit is 1,000,000 IQD for limited liability companies, 2,000,000 IQD for joint-stock companies, and 500,000 IQD for individual projects and general partnerships.

How long does registration take?

Usually three to four weeks, and possibly less as the new electronic platform is adopted.

What if I operate without registering?

It may have legal consequences. Depending on the applicable laws, it may be considered unlicensed business activity or tax evasion.
